KNOW ALL MEN BY THESE PRESENTS:
The undersigned incorporators, all of legal age and majority of whom are residents of the Philippines, have this day voluntarily agreed to form a non-stock and non-profit association under the laws of the Republic of the Philippines.
THAT WE HEREBY CERTIFY:
FIRST: The name of the said organization shall be:
REFORMED AND UNITED GUARDIANS BROTHERHOOD INTERNATIONAL INC.
SECOND: A. That the purpose or purposes for which such organization is incorporated are:
IS TO UNITE, DEVELOP AND MAINTAIN CAMARADERIE AMONG MEMBERS, IN ORDER TO BETTER AND MORE EFFECTIVELY ADDRESS MATTERS OF COMMON INTEREST AND CONCERNS, WITH THE END IN VIEW OF ACHIEVING A SUSTAINABLE DEVELOPMENT FOR OUR COMMUNITIES, AS NON-GOVENMENTAL ORGANIZATION FOR PEACE AND PROSPERITY.
THIRD: That the place where the principal office of the organization is to be established is at:
Alley 6, Sitio Gitna, Kaybiga, Caloocan City
FOURTH: That the term for which the association is to exist is fifty (50) years from and after the date of issuance of the certificate of incorporation.

EIGHTH: That no part of income which the association may obtain as an incident to its operation shall be distributed as dividends to its members, trustees or officers subject to the provisions of the Corporation Code on dissolution. Any profit obtained by the association as a result of its operation. Whenever necessary or proper shall be used for the furtherance of the purposes enumerated in Article II. Subject to the provision of Title XI of the Corporation Code of the Philippines.
NINTH: That Mr. Reynaldo P. Tabien_____________, has been elected by the members as Treasurer of the association to act as such until his/her successor is duly elected and qualified in accordance with the laws; and that as such Treasurer, he/she has been authorized to received for and in the name and for the benefit of the association all contributions or donations paid or given by the members.
TENTH: The incorporators undertake to change the name of the corporation immediately upon receipt of notice or directive from the Securities and Exchange Commission that another corporation, partnership or person has acquired a prior right to the use of that name or that the name has been declared as misleading, deceptive, confusingly similar to a registered name, or contrary to public morals, good customs or public policy.
ELEVENTH: That the association shall comply with the requirements for non-stock corporations in the course of its operation.

INTERNAL RULES
Preamble
We, the Officers and Members of the Reformed and United Guardians Brotherhood International Incorporated (RUGBII), Imbued with the desire of protecting and maintaining the standards of the GUARDIANS Movement and imploring the aid of the Divine Providence, and the blessings of democracy in order to establish an organization that shall inculcate the spirit of brotherhood, justice, peace, discipline service and equality, do hereby promulgate and adopt this By-Laws.
ARTICLE 1
ORGANIZATION
Section 1. The name of the organization shall be Reformed and United Guardians Brotherhood International Inc.
Section 2. The principal office of the organization shall be in Metro Manila.
Section 3. The organization shall be a non-stock, non-profit and non-sectarian organization.
Section 4. The terms RUGBII and Guardians are acronyms. Every letters of the words representing the following;
R – Reformed G – Gentlemen
U – United U – United
G – Guardians A – Associates
B – Brotherhood R – Race
I – International D – Dauntless
I – Incorporated I - Ingenuous
A – Advocator
N – Nation
S – Society
Meaning, “GENTLEMEN AND UNITED ASSOCIATES OF THE FILIPINO RACE, DAUNTLESS and INGENUOUS ADVOCATOR of the NATION and SOCIETY”. Which when translited in Filipino will mean, “Mga Maginoo at Nagkakaisang Katuwang ng Lahing Pilipino, Magigiting at Matatapat na Tagapagtanggol ng Bansa at Lipunan.
Section 5. MOTTO. The Reformed and / United Guardians Brotherhood International
incorporated propagates motto “AIM HIGH RUGBII"
Section 6. LOGO - The Logo of the Reformed and United Guardians Brotherhood
International Incorporated (RUGBII) shall consist of a bold letter G which stands for
GUARDIANS and within the confines of the letter “G” the handshaking symbolizes
Brotherhood, Solidarity and Unity of purpose. The triangular figures represent the seal membership tattoo. The sun and three (3) stars stand for Luzon, Visayas and Mindanao and the color red, White and Blue represent the flag of our country

ARTICLE II
DECLARATION OF PRINCIPLES, PURPOSE AND OBJECTIVE
Section 1. The Organization believes in the Divine Providence as the source of all creations,
power and authority.
Section 2. The main purpose of the Organization shall be to unite, develop and maintain
camaraderie among members, in order to better and more effectively address matter of common interest and concerns, with the end in view of achieving a sustainable development for our communities, as a non-govenmental organization for peace and prosperity.
Section 3. The objective of the Organization shall be as follows;
a.) To adhere and internalize the enduring core values of love of God, respect for authority, selfless love and service for people respect for women and sanctity of marriage, responsible dominion and stewardship over material things and wisdom of truthfulness;
b.) To promote good and harmonious relationship, unity and cooperation between and among the members for mutual support and benefit;
c.) To undertake development activities for the general welfare of the members and the organization as a whole;
d.) To generate funds for the organization and its activities; and
e.) To extend financial, legal and the forms of assistance to the members of the organization and to the immediate members of their families.
Section 4. The Organization operates on democratic principles – It adhere to the Constitution
of the Republic of the Philippines, its laws, regulations and ordinances promulgated by duly constituted authorities.

ARTICLE III
MEMBERSHIP
Section 1. The members of the Reformed and United Guardians Brotherhood International
incorporated shall be the following;
a.) Those who at the time of the adoption of this constitution and By-Laws are incumbent members of the DIABLO SQUAD Crime Buster, Guardians Brotherhood, Inc., Guardians Centre Foundation Inc., Magic group and all other Guardians factions who will be admitted pursuant to the provision of this Constitution and By-laws;
b.) Those who are hereafter admitted as members of the Organization in accordance with this Constitution and By-laws.
Section 2. QUALIFICATION OF MEMBERSHIP - .A citizen of the Philippines who is of
good standing in the community is illegible for membership provided he shall qualify and pass the organization’s screening and testing procedure after an application made in writing is given due course.
The organization shall determine the qualification of an applicant for membership among others, the age requirement for MAGIC Group is at least twenty one (21) years of age.
Section 3. Membership Procedure – Application for membership shall be made in writing
in official form provided for the purpose. An applicant shall only be considered as a
bonafide member after having passed the five (5) stages of membership, namely;

a.) APPLICATION – An applicant shall accomplish an official application form duly indorsed by the bonafide member, known as sponsor, of the organization which shall be submitted to the screening Committee of the local chapter for examination and approval;
b.) BACKGROUD INVESTIGATION – No one shall be admitted in the organization unless his background has been thoroughly known and investigated to ensure that he will not a liability or source of embarrassment in the future. As part of the investigation, an applicant is required to present a police clearance or Brgy. Clearance from his/her residence;
c.) PRESENTATION OF APPLICANT- An applicant who has passed the first two (2) Stages of membership must be presented to all the members during a scheduled monthly meeting. In this stage, the applicant must state his personal circumstances and the reason for joining the organization. An objection from the members will automatically disqualify the applicant but the objection must be justified and approved by the members present. If there is no objection, the applicant must be immediately scheduled for seminar or lecture;
d.) INDUCTRINATION SEMINAR or LECTURE- Applicants whose application forms shall have been approved shall undergo an indoctrination seminar or lecture on the objectives, aspirations and ideals of the organization;
e.) RECOGNITION – In this stage, it has been the practice of the organization to adopt certain customs and traditions by which it sets itself from the organization and giving the members one sense of belongingness and identity essential to the progress and success of the organization. He/she must perform an additional positive act like payment of membership and identification card in order to become a full pledge member.
Section 4. Right of members – Basically, a member shall have the following rights;
a.) To exercise the right of vote on all matters relating to the affairs of the organization;
b.) To be eligible to occupy an elective or appointive office;
c.) To participate in all deliberations or meetings of the organization;
d.) To examine all the accounts or books of the organization upon compliance with proper procedure and during regular meeting or on special meeting duly called for that purpose;
e.) To information on matters of general concern.
f.) To avail of the facilities of the organization
g.) To have RUGBII identification card and to wear uniforms
Section 5. Duties and responsibilities of Members – A members shall have the following
duties and responsibilities;
a.) To faithfully obey and comply with the Constitution and By-Laws and such other rules and regulations that may be promulgated by the organization from time to time;
b.) To attend all meetings of his/her chapter and to actively participate in all activities which may be conducted, held or initiated by the officers of his chapter or Chapter Founders, by the Regional, or National Officers;
c.) To pay membership dues and other assessments of the organization.
Section 6. Additional Rights Duties and Responsibilities of a members - The organization
may promulgate rules providing for additional rights, duties and responsibilities of
members in order to achieved the objectives and goals of the organization as ordained
in this constitution and by-laws.
Section 7. Classification of Members – members of the Reformed and United Guardian
Brotherhood International Incorporated (RUGBII) . members are as follows:
a.) FOUNDER (F) – He is a senior member of the organization coming from rank of Ranking Magic Group (RMG), in the case of MAGIC GROUP (MG) and Godfather (GF) and Godmother (GM) in the case of uniformed personnel with at least five (5) years of active membership of good standing and who have established or organized at least one (1) local chapter. He stands as the symbolic head of the organized local chapter and shall supervise all initiation rites within his chapter.
b.) Grand Supremo - A title given to the highest incumbent National Official of the organization whether coming from the Supreme Godfather (SGF) Supreme Godmother (SGM) Group or Magic Group
c.) Supreme Godfather SGF) / Supreme Godmother (SGM) – is a commissioned officer of the Armed Forces of the Philippines (AFP), Philippines National Police (PNP), Bureau of Fire Protection (BFP), and Bureau of Jail Management and Penology (BJMP) with at least one (1) year of active membership.
d.) RANKING MAGIC GROUP (RMG) / RANKING LADY GUARDIANS (RLG) – a title given to civilian members who are professionals, and /or respective leaders of the community, and retired government employee who have rendered exemplary performance to the organization and with at least three (3) years active membership coming from the rank of Magic group (MG)/Lady Guardians(LG).
e.) Magic Group – is composed of civilian members with an educational attainment of at least high school education or those possessed of special skills and technical knowhow who are willing to render services to the organization. The word “MAGIC” is an acronym which stand for:

A - Advocator
G - Gentlemen
I - Ingenuous
C - Competent
f.) Godfather (GF) / Godmother (GM) – a title given to members who are enlisted non-commission officers of the Armed Forces of the Philippines, Philippine National Police and Bureau of Jail Management and Penology with the rank of duty Sergeant to Master Sergeant coming from the lower ranks;
g.) BLUE (B) – a title given to member who is an enlisted personnel of the Philippine Army with the rank lower than sergeant.
h.) AIR (A) – a title given to member who is an enlisted non-commission officer of the Philippine Air Force with the rank lower than sergeant.
i.) NAVY (NAV) – a title given to member who is an enlisted non-commission officer of the Philippine Navy with the rank lower than sergeant.
j.) GOLD (G) – a title given to member who is an enlisted non-commission officer of the Philippine National Police and Bureau of Fire Protection and Bureau of Jail Management and Penology with the rank of not lower than Special Police Officer one or its equivalent.
k.) MAROON (MAR) – a title given to member who is an enlisted non-commission officer of the Philippine Marines with the rank lower than sergeant.
WHITE (W) – Military Police (brigade AFP)
The promotion to the ranks of Founder (F), Supreme Godfather/Godmother (SGF/SGM), Ranking Magic group (RMG) Godfather/Godmother (GF/GM) shall be subject to the approval of the National Founders committee or Regional Legislative Board and upon recommendation of the local chapter or any committee created for the purpose.
Section 8. Marking or Tattooing – all members and officers must undergo marking or
tattooing as part of our traditional membership requirement. The tattoo is not for decorative purposes but to signify their lifelong and total commitment to the organization and for all that stands for. It symbolizes both privileges and responsibilities aside from serving as an identifying mark. It likewise serves the purpose of discouraging those who are not ready to give their full acceptance, dedication or sincerity to the organization.

b.) Special Markings:
CNF - Represents for Corporator of 1 Branch/Faction
NCF - Represents for Incorporator of one (one) branch Faction
F - Represents for Founder
NF - Represent for National Officers
SGF/SGM Represent for Supremo/Suprema(Supreme Godfather/Godmother
RMG - Represents for Ranking Magic group
RLG - Represent for Ranking Lady Guardians
GF/GM Represents for Godfather/Godmother
c.) All members shall be correspondingly marked by tattoo in the superior area between the thumb and the point finger of the right hand with letters particularly described above;
d.) The GUARDIANS – mark including “PSEUDONYM” year of recognition and the word RUGBII. Shall be made permanently by appropriate tattoos on the lateral extremely of the upper right arms just below the shoulder. The design of the shoulder tattoo shall be as follows;

e.) The letter markings ‘GM” stands for Guardians Mindanao, “GV” stands for Guardians visayas, and “GL” stands for Guardians Luzon tattoed on the superior area between the thumb and the point finger of the left hand to easily identify areas of membership;
f.) Pseudonym – when one is finally admitted as a member of the organization, he shall assume a name by which he is known and address by his fellow members and make him closer with his fellow GUARDIANS.
Section 9. Change of Status of members – in case of change of status, the affected member shall be
marked with the appropriate tattoo in line with the original mark for all promotions except
promotion for FOUNDER where the mark shall be on the top of the original mark to
reflected his present status.
Section 10. Handshakes and Embrace – Handshake and embrace signify Respect, Love, Unity,
Solidarity, and concern for one another.
Section 11. Disregard of Rank, Position, Unit or Branch of Service – In the organization, there is no
obstacle to an open, free and honest interaction among members. As far as the goal of the
organization are concerned and for the purpose of achieving cohesion, all members shall
disregards their ranks, occupation, position or unit or branch of service. Thus, irrespective of
whether one is a government official or employee, professional or with the Army, navy, Air
Force, Marines or PNP, BJMP, BFP, he is simply a GUARDIANS. However, to maintain a
proper decorum in all activities of all organization, positions of Grand Supremo/Suprema
(SGF/SGM), RMG, Founder, MG, NCF, NF and Godfather/Godmother (GF/GM) shall be
recognized.
Section 12. Oath of Allegiance – A bonafide member of the organization shall sign an Oath of
Allegiance or Panunumpa.
Section 13. Code of Conduct – The National Chapter shall adopt a Uniform Code of Conduct of
members of the Organization.
ARTICLE IV
DISCIPLINE
Section 1. Disciplinary Action – Any member or officer whose conduct or activities are
contrary to this Constitution and By-Laws, and Rules and Regulations of the organization shall be subjected to disciplinary action. All administrative complaints, except when otherwise provided by appropriate resolution of the National Chapter, shall be filed before the National Investigation and Prosecution Office, and to be heard and decided by the National Justice Tribunal, in the case of National Officers, the Regional Executive Council, in the case of Regional officers, and the Provincial Executive Council, in the case of Barangay, Institutional, Municipal, District and Component City Chapter officers and members. However, the regional, Provincial and City Chapter are not precluded from consisting a Grievance Committee and/or Machinery for the purpose.
Section 2. Grounds for Disciplinary Action - .Any member may be suspended or expelled
from or stripped of his membership and all benefits or privileges due him shall be denied under any of the following grounds.
a.) Non-payment of membership fee, annual or monthly dues and other assessments for three (3) consecutive months;
b.) Non-payment of fine properly imposed upon him one month after the same is ordered final and executor by the authorities concerned;
c.) Failure, despite notice, to attend without sufficient cause as may be determined by the executive council or legislative board concerned, regular or special meeting for three (3) consecutive months;
d.) Other serious infractions or violations of any provision of this Constitution and By-laws and other similar rules and regulations of the organization after final findings thereof by the disciplinary officers of the chapter concerned;
Section 3. Other grounds for disciplinary action - The following are other grounds or causes
for disciplinary action:
a. Dishonesty
b. Neglect of duty;
c. Misconduct;
d. Gross Incompetence
e. Negligence;
f. Disgraceful and immoral conduct;
g. Notoriety;
h. Conviction of a crime involving moral turpitude;
i. Insubordination;
j. Improper or unauthorized solicitation of contributions or donations;
k. Abuse of authority;
l. Conduct prejudicial and inimical to the general interest of the organization;
Section 4. Penalties– The penalties shall be imposed depending on the gravity of the offense.
If the offense is so serious and grave in character the penalty shall be REMOVAL. if the offense is less serious or less grave the penalty shall be SUSPENSION. if the offense is light the penalty to be imposed shall either FINE/WARNING.ADMONITION.
Section 5. Form of Complaint – Any complaint against any member or officer shall be made in writing and verified under oath before an officer authorized to administer oath and properly filed pursuant to section I hereof.
Section 6. Appeal – All decisions, except those made by the National Executive Council
whose decision is immediately final and executor, shall be appealable within the period of thirty (30) days from the receipt by the appealing party, to the higher executive council which shall decide the same within a period of sixty (60) days upon receipt thereof.
ARTICLE V
GOVERNMENT
Section 1. The National Chapter – The national chapter shall be composed of the National
executive Council, National Legislative Board, and the National Founders Committee.
The Executive powers of the National Chapter shall be exercised, its business
conducted, and its property controlled by the officers of the National executive
Council, whose shall be elected from the National Convention to be held every two
(2) years.
The National Convention, which is considered as the national Assembly, shall be held
in the month of April following date of synchronized elections and every two (2) years thereafter;
The Legislative and policy-making powers of the National Chapter shall be exercised by National Legislative Board, whose members shall be composed of the elected Regional Board Chairmen of the different Regions.
The National Founders Committee, which composed of the Regional Founders and
Supremos, shall serve as the advisory body of the National Chapter.
a.) The National Supremo’s Committee, The National Presidents Committee, The National Executive Officers and the National Chairman and Members of the Board.
b.) The National Founders Committee shall be composed of all Regional Founders Committee President.
c.) The National Supremo’s Committee shall be composed of all Regional Supremo’s
d.) The National Presidents Committee shall be composed of all Regional Presidents.
e.) The National Executive Officers must be composed of the President, Vice President, Secretary and Treasurer. The position of National President and Vice President must be elected from the National Founders Committee; and
f.) The National Supremo’s Committee. The position of National Secretary and National Treasurer must be elected from the Founders Commtittee.
Section 2. Regional Chapter:
a.) The Regional Chapter shall be composed of the Regional Executive Council, regional
Legislative Board, and the Regional Founders Committee, the executive powers of the Regional Chapter shall be execised, its business conducted, and its property controlled by the Regional Executive council which is composed of seven (7) officers who shall be elected from the Regional assembly to be held every two (2) years.
b.) The Regional Executive committee officers shall be composed of a regional president,
two or more vice president, secretary and treasurer. All officers except the position of the president and vice president who must be a member of the founders committee, must be elected from officers of the chapter.
c.) The Regional Supremo’s must be selected and duly recognized by Founders
Committee in the Region.
d.) The Regional Assembly shall be held not later than the second Saturday of December
from the date of synchronized elections and every two (2) years thereafter;
e.) A Special Regional assembly may be called at anytime to consider urgent matters by
the Regional Executive Council Chairman.
Section 3. Chairman and Members of the Board - All Officer of National Founders,
Committee, National Supremo’s committee, and National President Committee shall
automatically become members of the National Board. They may elect from among
themselves a Chairman of the Board or with their unanimous consent, appoint any
distinguish and well known leader of another legitimate GUARDIANS faction as the
Chairman of the Board.
Section 4. Chapter - A Chapter is composed of Founders, the Officers and members of a unit
or barangay within a region.
Section 5. Overseas of Foreign Chapters -All chapters which may be organized or established
in any country outside the Philippines shall have the same instrumentalities,
organization set-up and set of officers as a Provincial Chapter as provided herein, in
case the chapter is composed of several chapters; or a Municipal or City Chapter, if
the overseas or foreign Chapter is composed of only one (1) Chapter. Upon
establishment and recognition of an overseas or Foreign Chapter, its members and
activities shall be governed by this Constitution and By-Laws, insofar as they are
applicable, and all other rules and regulations which may be issued by the National
Chapter
Section 6. Jurisdiction in case of conflict - All issues. Conflict or Disputes of members of a
chapter shall be settled by the chapter officers, Appealable to the Regional Executive
Officers. Decisions of Regional Executive officers are appealable to the Regional
Founders Committee. Decisions of The Regional Founders Committee are final and
executory.
Issues, conflict or disputes of chapter officers shall be settled by the Regional Executive officers. Decisions of the Regional Executive Officers are appealable to the Regional Founders Committee. Decisions of Regional Founders Committee are final and executory.
Issues, conflict or disputes of Chapter Founder and Regional Executive Officers shall be settled by the Regional Founders Committee. Decisions of the Regional Founders Committee are appealable to the National Supremo’s and National Founders Committees setting together in a joint session. Their decisions are final and executory.
Issues, conflict or disputes of Regional Supremo’s shall be settled by the National Founders Committee. Decision of the Regional Founders Committee as appealable to the National Supremo’s and National Founders Committee Setting together in a joint session. their decisions are final and executory.
Issues, conflict or disputes of Regional Founders Committee shall be settled by the Regional Founders Committee themselves appealable to the National Supremo’s and National Founders Committee, setting together in a joint session. Their decisions are final and executory.
Issues, conflict or disputes of National Officers shall be settled by all national officers setting together in a joint session. Their decisions are final and executory.
Section 7. Tenure of Office. The tenure of office of the chapter officer must not be more
than one year. The tenure of office of Regional officers must be three years. The
tenure of Office of Regional Founders Committee Officers and all other National
Officers must be five years.
ARTICLE VI
OFFICERS OF THE ORGANIZATION
FOUNDERS COMMITTEE
Section 1. The Founders Committee shall be composed of all Founders in good standing. they
shall elect from among themselves.
a.) Founders Committee President, a Founders Committee Vice President, a Founders Committee Secretary and a Founders Committee Treasurer who shall serve as such for a period of five (5) years unless remove at anytime by a majority vote of the entire members of the founders committee.
Section 2. The central power of the organization is primarily lodge in the Founders
Committee. It has the power to promulgate internal rules and regulation, promote
ranks, discipline of members and officers and such other power necessary and
incidental to the performance of their duties.
Section 3. The Founders Committee may, setting together during regular or special meeting,
and with a quorum discipline all members or officers for removal, suspension or
admonition defending upon the gravity of the offense.
Section 4.The promotion of ranks as a procedure must be indorsed by a Founder in writing
and subject to approval and due recognition by the Founders committee.
Section 5.Quorum - A majority of the members in the Founders Committee shall constitute a

ARTICLE VII
EXECUTIVE OFFICER
Section 1. Executive Officers - The Executive Officer of RUGBII shall be a President,
one or more Vice-President, a Treasurer, and a Secretary.
Section 2. Appointed officers –National Officers or President at every level of the
organization may appoint other officers with the consent of a majority of the members
in its council, provided that at the National Level, such appointments shall be subject
to confirmation by the tribunal on appointments.
Section 3. Qualification of Officers – In addition to those which may be prescribed by the
National Chapter, all elected, appointed and Constitutional officers shall have the
following qualifications;
GENERAL:
a.) He/She must a bonafide member of RUGBII and a member in good standing of the organization; and
b.) He must not be convicted of, nor has a pending criminal or administrative case involving moral turpitude.
SPECIFIC:
a.) Office of the President (National Level) – He/She must be a Rangking Magic Group (RMG/RLG) or Supremo; Office of the Vice-President (National Level) - He must be a Rangking Magic Group (RMG/RLG) or Supremo.
b.) Office of the Constitutional Bodies – He must come from the Founders Committee or regular member of the National executive Council. Appointees to constitutional officers requiring technical skills and knowledge may not come from the Founders Committee or National executive Council.
c.) Elective Officers – Any member of good standing of the organization
d.) Appointed Officer – any member of good standing of the organization
Section 4. Removal - Every officer, including the President, shall be subject to removal
by the majority vote of the Founders Committee at any time, and any officer elected
to fill the vacancy shall hold office only for the unexpired term of the officer so
removed or until his successor is duly elected and qualified.
Section 5. Duties and Responsibilities of National Officers:
a.) President - The President shall be the Chief Executive Officer of the RUGBII. In
addition to such duties as may be delegated to him by the Founders Committee, he shall preside at all meetings of the members. he shall execute all resolution of the Founders Committee. He shall submit to the Founders Committee as soon as possible after the close of each fiscal year, and to the members at each annual meeting, a complete report of the operations of the organization for the preceding year.
b.) Vice-President - Each Vice-President shall have such power and perform such duties as the Founders Committee may from time to time prescribe. In case of the absence or inability of the president, the First Vice-President shall exercise the powers and discharge the duties of the president.
c.) Secretary - The Secretary shall keep the records of the organization and shall have custody of the RUGBII seal. He shall, in addition, exercise such other powers and perform such other duties as are prescribed for the Office of the Secretary or usually pertaining to the office, and such other duties prescribed from time to time by the Founders Committee.
All chapters secretary, as a matter of duty, are required to submit a monthly report more particularly on marking activities to the respective incumbent Regional Executive Officers for purposes of accounting and registration of members.
d.) Treasurer - The Treasurer shall have charge of the funds, receipt an disbursement of the Organization. He shall deposit all moneys and other valuables of the organization in such bank or banks as the Founder Committee may designate. He shall render to the President or to the Founder Committee, whenever required, an account of the financial condition of the organization and all transactions made by him as treasurer. All payments made by the treasurer shall be signed by him and countersigned by the President.
e.) Auditor – He shall audit and monitor the funds of the organization from time
to time, he shall certify the record of the financial reports that may be submitted to the organization, and he shall advise the President on the financial condition of the organization and to recommend cost-saving measures.
f.) Public Relation officer (R.R.O.) – He shall deliver notice or disseminate the
information to the Founders committee if they have call for a meeting of the organization. coming from the National Secretary he shall serve as the official spokeman of the organization, he shall be responsible for building the image of the organization and he shall screen all press and media releases in relation to the operation of the organization, and he shall submit for approval by the council any major policy in making reports to the media.
g.) Chapters – All chapters shall submit an annual report of their Activities and
Assets and Liabilities to National Secretariat office, which will be presented during
their respective National Assembly:
ARTICLE VIII
APPROPRIATIONS OF FUNDS
Section 1. Source of Funds – The funds of the organization shall be derived from
Membership fees, dues, assessment, grants, contributions, donations, and from other
fundraising activities.
Section 2. Every member in the organization shall pay the following;
a.) Membership fee -Php 500.00 (Five Hundred Pesos) Including Food and wine, Identification Card (ID), Accident Insurance, Marking fee, Chapters fund, Founders fund.
b.) Chapter Monthly dues – Php 50.00 (Fifty Pesos Only) below.
Section 3. Retention of funds - The organization funds shall be appropriated as follows;
every founder of a chapter shall be entitled to 40% of membership fee of every member as a compensation and consideration for the establishment, development and supervision of his chapter. Fifteen percent (15%) of membership fee of every member shall form part of Supremo’s funds to be equally divided among Supremo’s at the end of the year. Fifteen percent (15%) of membership fee of every member shall form part of National Funds. Fifteen percent (15%) of membership fee of every member shall form part of chapter funds. Fifteen percent (15%) of membership fee of every member shall be part of Founders Fund.
Section 4. Disbursement:
All instrument of withdrawal from the funds of the organization, whether by check or any other instrument shall be signed by the Treasurer and counter-signed by the president or, in his/her absence, the Vice-president. Disbursements shall be made only by virtue of an appropriate resolution approved by the Executive Council.
Section 5. All others income, funds and revenues realized from membership fees,
assessments, grants, donations, and from all others sources, except real and fixed assets, and which are not applied or used at the end of the year, shall revert to the general fund.
Section 6. Fiscal Year:
The Fiscal Year of the organization shall be from January 1st, to December 31th of each year.
Section 7. National/ Regional/NCR and Chapter Auditors shall conduct an audit in
accordance with the rules and procedures in auditing on or before the 31th of January of every year.
Section 8. All Chapters shall submit an annual report of their Assets and Liabilities, which
will be presented during their respective general Assembly.
Section 9. Members Benefit and Protection - Within one year from effectivity and approval
of the Securities and Exchange Commission of Reformed and united Guardians Brotherhood International Incorporated (RUGBII). All members as a matter of rights must be issued an identification card with the corresponding insurance benefit, subject to payment of insurance premium of every member.
Section 10. In the incident that there is a decease member or any immediate family of an
active RUGBII member as per qualification stated below will receive the total amount collected as per contribution of the organization. Every members of RUGBII must pay the amount of Php 50.00 (Fifty pesos) for the legitimate active member and Php 20.00 (Twenty pesos) for the immediate family members;
ARTICLE IX
AMENDMENT REGULATIONS
Section 1. Amendment, modification or repeal to this Constitution and By-Laws may be
proposed in writing by at least twenty five (25) members of the organization,
furnishing copies hereof to each member of the National Executive Council who shall
consider such proposed amendments within thirty days upon receipt thereof. Such
proposed Amendments
shall state thereon the old provisions and the proposed new provisions.
Section 2. Amendments to this Constitutions and By-Laws shall be approved by two-third
(2/3) vote of all the delegates to the National Convention or by a majority of all the
members of the National Executive Council, in a meeting duly called for the purpose.
ARTICLE X
RULES AND REGULATIONS
Section 1. Rules and Regulations. All rules and regulations duly promulgated by the National
Founders Committee pursuant to Reformed and United Guardians Brotherhood
International Incorporated internal rules after the effectivity of this constitution are
hereby made part of this Constitution and By-Laws.
